Michael D. Capaldi

Mr. Capaldi’s skills go beyond expertise in legal subtleties to the mastery of transactional structures, whether for institutional financings, complex workouts, commercial leasing, sophisticated acquisitions, or business entity organizations. He has closed hundreds of real estate transactions.

His clients know Mr. Capaldi as an accomplished business strategist. He brings a practical sense to complex, high-stakes real estate transactions.

Mr. Capaldi represents financial institutions and institutional and entrepreneurial developers, owners, and investors in challenging lending transactions, ground-up real estate development, workouts and restructurings, complex real-estate acquisitions and sales, and nearly every other class of real-property transaction. He is experienced with debt instrument sales and participations, limited liability company formation and partnerships, guarantor, foreclosure, and deed-in-lieu-of-foreclosure issues, easements and covenants, management agreements, and construction contracts.

Mr. Capaldi also focuses on commercial leasing, having long represented major retail, office, and industrial landlords and tenants. He understands the issues arising in space, ground, agricultural, and build-to-suit leases, both from the landlord’s and the tenant’s points of view.

Having practiced law in California for over 30 years, Mr. Capaldi has guided clients through three major real estate booms and two severe downturns building on his intimate familiarity with many real estate product types and the broadest variety of equity and debt financings, from private equity funding to public capital markets, tenancy-in-common structures, mezzanine financing, and others.

A graduate of the University of Southern California’s law school, Mr. Capaldi is a frequently published author on topics such as overseas investment, the development of public infrastructure, and national and state politics and policy. Mr. Capaldi speaks often about business, government, and politics on panels, in debates, and in formal addresses in settings ranging from private forums and legislative bodies to university campuses.
